ARTICLE I — DUTIES OF OFFICERS AND OTHER DIRECTORS
Section 1. The President. The president shall preside at all meetings and shall be chief executive officer of the Council. The president shall have general supervision over the development of the Council’s entire program, shall make all committee appointments not already set forth in the bylaws, and shall be an ex-officio member of all committees.
Section 2. The Vice President. The vice president shall perform the duties of the president in his/her absence. The vice president shall have chief responsibility for meeting programs and chair the Program Committee.
Section 3. The Secretary. The secretary shall keep minutes of all meetings, distribute announcements of meetings, maintain a current membership list of the Council, conduct correspondence at the direction of the president and keep an up-to-date record of any business of the Council.
Section 4. The Treasurer. The treasurer shall be custodian of all Council funds and shall keep a record of the receipts and expenditures of the Council. Funds received by the treasurer shall be deposited in a bank to the account(s) of the Council.
Section 5. The Immediate Past President. The Immediate Past President of the Council shall serve on the Board of Directors.
ARTICLE II — MEETINGS
Section 1. Regular Meetings. The Council shall normally hold a luncheon meeting each month January through June and August through October, usually on the last Tuesday of the month. A November or December meeting may also be scheduled, with the date and format to be determined by the Board of Directors, subject to approval by a majority of Council members attending any regular meeting.
Addendum: In the event of inclement weather on meeting days, the Council will follow the cancellation notices for James Madison University. Delays at JMU caused by weather will not impact Council meetings.
Section 2. Board of Directors Meetings. Board of Directors meetings shall be held at the call of the President or any three Board members.
ARTICLE III — ELECTIONS
Section 1. A nominating committee of no fewer than three members shall be appointed by the President. The nominating committee shall present a slate of candidates annually to the membership at its September meeting. Additional nominations shall be accepted from the floor during the September meeting.
Section 2. The membership will vote at the October meeting on those persons nominated at the September meeting.
Section 3. In a contested election, a majority vote by secret ballot of the membership present at the October meeting shall be necessary for election of officers.
Section 4. Officers will assume their responsibilities at the January meeting.
ARTICLE IV — DUES
Section 1. Individual membership dues may be set by the board, subject to approval by the majority of Council members attending any regular meeting.
Section 2. Individual membership dues for retirees who have been members of the Council for at least three years shall be one-half of the full membership; lunch prices shall remain at full cost.
Section 3. Full payment of dues shall be received by January 1. Dues for new members joining the Council after July 1 shall be one-half of the cost of full membership, plus per-member cost of social events. Lunch prices shall remain at full cost.
ARTICLE V — AMENDMENTS
Section 1. These bylaws may be amended by a two-thirds vote of those members in attendance at the next meeting after written notice of the proposed amendment(s).
